Department Overview

The Supply Chain and Procurement Legal Team works with Procurement, internal business partners, subcontractors and vendors to obtain the products and services needed to run the business while also staying abreast of regulatory and geopolitical drivers that influence the way in which we bring our solutions to market.

We are a small, fast paced and collegial team of practitioners who are responsible for supporting the negotiations of domestic and international procurement agreements. These transactions range from complex, high-value agreements with strategic partners to high-volume standard procurement contracts with a broad range of suppliers.

Job Description

Overview:

The Commercial Counsel is responsible for the preparation of Legal Review, Negotiation, Risk Mitigation, and Approval of Procurement frame agreements, subcontracts and licensing agreements; ensuring compliance with company policy as well as applicable laws/regulations.

A key responsibility of the position will be to drive and implement robust Risk Management. This position also requires a desire and willingness to work on multiple and varied other legal projects including those relating to process improvements, template governance, M&A integration, internal policies and projects to help in the overall administration of the legal function.

This role develops negotiation strategies with internal business partners, evaluates risk exposure, and makes recommendations to business partners or legal counsel.

This is a full-time position and may be performed 100% remote.

Responsibilities:

  • Draft, review, and negotiate vendor contracts, primarily technology-related agreements, such as license agreements, product supply agreements, software development agreements, cloud computing, and managed service provider agreements.
  • Advise and provide solutions to internal business clients on issues specific to vendor contracting and relationships.
  • Provide legal advice regarding negotiation strategies, contractual terms, intellectual property matters, privacy, cybersecurity, supplier relations and compliance matters.
  • Work with Supply Chain and Procurement colleagues and other internal personnel to identify and mitigate risks.
  • Lead, advise and coordinate with multiple stakeholders across marketing, product, finance, implementation and sales throughout the pre-sales, sales and post-contract cycle on a broad range of legal and compliance issues for the Motorola Solutions portfolio of products and services.
  • Develop streamlined, organized and efficient policies and procedures for contracts, including establishing playbooks, and standard template language to be used in contracts.
  • Manage contract disputes, including understanding the issues, providing guidance on solutions, drafting settlement agreements.
  • Provide counsel and guidance for the accomplishment of overall business objectives of the Company, while fully complying with applicable laws and regulations and avoiding unacceptable risks; perform informed cost-benefit analysis when identifying risks. This includes supporting the business and product development processes by providing key inputs and advice on legal risks and issue, prioritizing risks and ensuring compliance with government and customer-imposed requirements.
  • May provide support on non-commercial practice area issues (labor and employment, corporate governance, data privacy, ethics, etc.)
  • Proactively develop and maintain technical knowledge in specialized area(s), remaining up-to-date on current trends and best practices.
  • Exercises reasonable judgment to determine when to escalate complex matters or decisions to more senior level counsel or manager.
  • Work effectively with senior management to create strong trusted advisor relationships with business leaders, provide practical advice, facilitate creative problem-solving and informed decision-making.
  • Develop, update and evangelize rules and policies relating to the procurement contract review and approval processes

Desired Skills/Qualifications:

  • Substantial experience drafting, reviewing and negotiating various types of procurement agreements of varying size, scope and complexity. Experience drafting and negotiating procurement agreements (including product, third-party hosted and cloud-services issues, service level agreements, and software licensing/re-distribution agreements).
  • Experience working with legal policies and procedures and demonstrated ability to identify potential legal issues.
  • Experience approaching legal matters with a sense of pragmatism and flexibility to recommend solutions that enable our company’s success while protecting its legacy and future.

  • In-house legal experience preferred including supervision of outside counsel.

Basic Requirements

  • Requires a Juris Doctor Degree and 6+ years of experience in corporate transactional, contracts negotiation and/or commercial transaction experience preferably with background in technology matters, software agreements, data privacy, and/or intellectual property.
  • Admission to the Bar of at least one state.
  • Legal authorization to work in the U.S. indefinitely is required. Employer work permit sponsorship is not available for this position.
