What you’ll be doing
- Project manage all active litigation and regulatory matters, ensuring execution and response within deadline
- Review new actual and threatened litigation matters and draft summaries to counsel providing information such as the nature of the case, causes of action alleged, and preliminary recommendations
- Liaise among outside counsel, Legal team, and internal clients to translate requests, conduct fact-finding, and retrieve relevant information or documents
- Working with cross-functional stakeholders, drive the development of playbooks, tools, systems, and processes that enable automation, scale, and optionality
- Create and maintain a legal knowledge management system, pulled from legal databases, news sources, and work product (such as memos, briefs, or emails)
- Facilitate the process for sourcing, selecting, and managing external service providers, including managing outside counsel actual spend against budget
- Mentor and train junior team members, and design and deliver client training
What you should have
- 6+ years litigation paralegal experience, gained through either a law firm serving technology companies or in-house work
- Extreme familiarity with US commercial litigation/arbitration processes, from service of process to appeal/settlement
- Experience prioritizing and triaging a high volume of unrelated matters
- Ability to break down complex projects into discrete components and to work collaboratively and strategically at all levels of the organization in order to meet external deadlines
- Ability to develop processes and evaluate tools that will function at scale

This position will report to the company’s Deputy General Counsel – Corporate, M&A and Securities, and be part of a growing Global Legal team.
The Lead Corporate Paralegal will work closely with teams across the organization on a wide range of corporate matters, including corporate governance, securities law compliance, capital markets and other strategic transactions, entity management, policy implementation and regulatory filings. The ideal candidate will be comfortable working independently in a fast-paced environment, willing to take on new projects and help out where needed. What You’ll Do:
- You’ll support all aspects of ServiceTitan’s securities law compliance, corporate governance, and subsidiary management.
- Partner closely with the DGC and GC on corporate governance processes including taking lead on general recordkeeping, preparation and organization of materials and minutes for Board of Director and Committee meetings, and maintaining corporate minute books.
- Support the preparation and filing of multiple SEC filings including 10-K, 10-Q, 8-K, and annual proxy statement.
- Run the company’s processes for director & officer questionnaires and related person transaction tracking.
- Lead on subsidiary formation, management, and compliance for all entities, which includes working with our filing agent on state corporate filings, telecommunications filings, drafting standard corporate paperwork, forming new entities, dissolving entities, managing and updating our entity management platform.
- Partner with our Equity Team to manage Section 16 filings, help administer our preclearance program, and reviewing 10b5-1 plans
- Support our M&A activity and other strategic transactions, including NDAs, due diligence, and virtual data site and post-closing administration and integration

What You’ll Need:
- 7+ years of corporate paralegal experience in a top law firm and in-house public/SaaS company legal team supporting public company corporate governance, public reporting and transactional work.
- Exceptional verbal and interpersonal communication skills, can build strong relationships with colleagues, and can simplify corporate governance concepts and communicate them in easy-to-understand language.

COMPENSATION & BENEFITS
- This is a full-time, benefits-eligible, non-exempt (hourly) position. Note that this position’s non-exempt status may be subject to change based on the role qualifying for the highly compensated exemption.
- The full pay range for this position, across all geographies, is $35 – $69 per hour (~ $72,000 $144,000 per year). The upper portion of the pay range is typically reserved for existing employees who demonstrate strong performance over time. Starting compensation will vary by location, qualifications, and prior experience; during the interview process, candidates will learn the starting pay range applicable for their location.

In this role, you will report to the Deputy General Counsel and work closely with the growing Fintech and Cloud legal team, product leads, and other senior business partners to drive and execute commercial contracts with Hopper’s B2B partners around the world. About the Role
As an Employment Counsel, you will support the Company and partner across the Legal Function, with a personal emphasis on labor & employment, compliance, and marketplace risk, and other general issues that the Company encounters. Thumbtack attorneys work on a variety of engaging and challenging legal issues each day and the key to this role’s success will be to earn the trust of our business colleagues and provide expeditious, practical legal advice that helps identify and then mitigate risk across our platform.
Responsibilities

- Manage and oversee the company’s legal disputes and litigation needs/matters, including providing legal advice and representation in court and other legal forums

- The US base salary range for this full-time position is $253,000 – $343,000.
- Our salary ranges are determined by role, level, and location. This is a unique opportunity to work as an associate level in-house legal counsel on a fully remote team. You’ll be helping Status’ Legal lead in supporting Finance, Marketing, People Ops, and one of the most innovative Core Developer teams in blockchain.
Your input from a legal perspective will include, among other things, regulatory research, contract management, and compliance monitoring and general advice. You’ll get immediate hands-on experience in legal issues in jurisdictions across the globe and you’ll be working on cutting edge issues at every turn, whether blockchain technology law, intellectual property, employment law, or basic contract management.

You will advise and assist with the following:
- Assist the in-house legal team with requests as needed, ranging from contract drafting and management to reporting, as well as responding to urgent matters from all Status teams;
- Take ownership of selected projects from idea to execution and post-closing monitoring;
- Understand priorities, legal and regulatory needs and risks of Status;
- Review, draft and amend a variety of commercial agreements, service agreements and NDAs;
