Hopper is seeking an experienced international transactional attorney to join its growing global legal team as Associate Counsel for its Fintech and Cloud Business.

In this role, you will report to the Deputy General Counsel and work closely with the growing Fintech and Cloud legal team, product leads, and other senior business partners to drive and execute commercial contracts with Hopper’s B2B partners around the world. In doing so, you will provide innovative solutions to cross-border remittance issues arising under complex commercial contracts that will govern the provision of Hopper’s travel and fintech services to airlines, banks and online travel agencies and their respective customers. The core function of this role is commercial contracting, and the right person will have a strong foundation in withholding tax and indirect tax (VAT/DST/sales tax) as a complementary skillset.

You will be a self-starter with intellectual curiosity and a willingness to roll up your sleeves and tackle unfamiliar tax issues in new markets to remove blockers and facilitate deal close. You will be eager to unpack the complexities needed to close cross-border commercial transactions as a rapidly-scaling B2B business with a home base in Canada and significant operations in the U.S. that operates globally with subsidiaries and affiliates in 38+ countries.

Primary Responsibilities:

• Negotiate, draft and close the distributed fintech and Cloud contracts that contribute to Hopper’s success. Research indirect tax issues in foreign markets to address questions from prospective B2B partners that arise in contracting. Devise tax efficient solutions to withholding issues, taking into account Hopper’s corporate structure. Achieve optimal results in B2B contract negotiating across a wide range of legal topics, such as intellectual property, sanctions compliance, payments regulation and data privacy. Partner with business development on commercial negotiations.
• Advise product teams on a range of issues in developing innovative product structures, including new and emerging legal and regulatory developments impacting Hopper’s B2B distribution of fintech products, travel portals and website services (a new area of growth for Hopper).
• Help scope and build scalable and effective processes for legal review and launch of new products, including drafting and maintaining terms and conditions for products sold on Hopper’s sites and its B2B partners’ sites.

Secondary Responsibilities:

• Advise on all issues affecting Hopper’s business globally, including consumer protection, intellectual property, regulatory compliance, data privacy and information security, and corporate governance.

Qualifications & Background Requirements:

• J.D. or LLM in the United States; Three (3) years minimum experience in an in-house position, government and/or law firm practice advising a wide range of industries (including consumer products and technology services) on commercial contracting matters, including withholding and indirect tax issues;
• Exceptional verbal and written communication skills;

Reporting to the SVP, Finance, the Head of Legal will be Posh’s first in-house lawyer and responsible for building a world-class legal function. Key Responsibilities

• Commercial / Deal Desk: Review, draft, negotiate, and streamline on a wide-range of client contracts across different sizes. You will work towards driving outcomes such as improving sales cycles by 2-4 weeks lost in redlining. You will also help with driving impact on implementation / SOW contracts on definitive milestones that build better protection for Posh. As we move upmarket and get enterprise deals, we are looking to establish a playbook for pilot contracts that convert to subscription agreements.
• Vendors: You will be the key point of contact for the legal aspects of prospective and existing vendors as each proposal goes through concurrent FP&A, Security, and Legal reviews.

Position Summary:

KIND seeks a paralegal to support KIND’s delivery of legal services to KIND clients across KIND field offices and teams through a range of case support tasks in coordination with our attorneys. The National Team is comprised of attorneys and paralegals who fill a critical role at KIND by deploying remotely and, as needed, in person, to work with field offices experiencing staffing vacancies. KIND’s social services program ensures that migrant and refugee children – who have often endured trauma – receive counseling, educational support, medical care, and other comprehensive services.

To address the root causes of child migration from Central America and strengthen protection of unaccompanied children, KIND advocates for policy changes and educates lawmakers, the media, and the broader public on the conditions that drive these children to flee their home countries. KIND supports children returning to their home countries by connecting them to essential support services and sponsors gender-based violence prevention programs in Central America to protect children in countries of origin and transit.

KIND is also building upon its expertise in the protection of unaccompanied children to encourage the development of pro bono initiatives across Europe in partnership with European NGOs.

Position Summary:

KIND seeks a full-time Paralegal to join its Family Separation team within the organization’s Legal Services component. The Paralegal will be part of KIND’s legal strategy, technical assistance and training arm within the Legal Services team and will report to a Senior Attorney on the Family Separation Team. The Paralegal will may work remotely, or can be based in any one of KIND’s field offices.

The Paralegal will work alongside the Managing Attorney and the rest of the Family Separation Team, to provide legal and administrative support to assist children and families impacted by family separation and other emerging legal and policy changes affecting migrant children seeking safe haven in the U.S. The Paralegal will provide litigation assistance, data management, legal support, and office administration in a cutting-edge area of work on behalf of highly vulnerable children. The paralegal will undertake case support tasks in coordination with attorneys, including conducting client intakes, legal research, preparation of immigration forms, drafting affidavits, maintaining files and data, hearing preparation, social services referrals, and other related duties.

Essential Functions:

• Provide legal, administrative, operations, and program support to attorneys working on family separation matters;
• Conduct client phone screenings and intake interviews and draft intake memoranda, and conduct initial assessment of case referrals received against case acceptance criteria and program priorities;
• Provide support for on-going FTCA litigation and administrative claims, including tracking cases and dates of filing, communicating and coordinating with pro bono and non-profit partners, calling clients, and providing support in preparation of documents for filing in federal litigation;
• Provide support to attorneys on in-house cases, including conducting legal research and country conditions research; filling out immigration benefit and other standard forms; submitting case file records requests to government agencies; drafting affidavits and basic motions; assisting with hearing and interview preparation; maintaining case files and data entry in case management database; and other tasks as needed;
• Serve as point of contact for clients, proactively ensuring that case files and case management system reflect current contact information and status updates on case developments and child’s wellbeing;
• Provide support to pro bono attorneys during case placement and assist with administrative and planning tasks related to pro bono attorney training and mentoring;
• Ensure that client and case information is kept up to date in the case management database, and assist in data reporting for internal reports and for external reports to funders;
• For direct representation cases, conduct regular check-ins with the child, particularly in cases in which case adjudication is delayed; update attorneys regarding new developments, as needed;
• For pro bono cases, assist in case audit efforts, ensuring that updates from pro bono attorneys regarding case status and child’s wellbeing and timely and accurately recorded;
• For cases involving detained, forcibly separated children, screen referrals and assist in locating detained parents, as well as facilitate communication with detained parents and family members in the child’s home country;
• Help assess the needs of repatriating separated children for social services in their home country and make referrals to KIND’s Reintegration and Repatriation program as needed;
• Support KIND’s role in communicating with and assisting members of the expanded class of parents who were forcibly separated from their children and have been recently identified through litigation;
• Provide remote assistance to the Managing Attorney for the Family Separation & Special Programs team, particularly on maintaining case data, conducting phone screenings, and making referrals to potential clients;
• Liaise with Social Services Coordinators regarding social services needs and referrals; assist with social services projects depending on office needs, including expenditure and tracking of emergency assistance funds; and work collaboratively to achieve programmatic goals where legal services/social services intersect;
• Support internal budgetary tracking; ensure appropriate tracking of client emergency fees and other expenditures; logging of expenses and receipts; reporting expenses for grant tracking purposes;
• Review, edit, and format guidance documents, narrative reports for funders, and other documents as needed;
• Assist with editing and/or translating Spanish language documents. Coordinate external interpreter resources where needed.

The Contributions You’ll Make:

• Responsible for project management and preparation of annual post-effective updates and supplementary filings for group variable annuity product registration statements in compliance with the ’33 Act and ’40 Act using forms N-4 and S-3
• Coordinate with auditors, corporate finance, marketing, product, operations, attorneys, actuaries, fund companies, IT, and financial printers to ensure filings are processed in accordance with regulatory requirements and time frames
• Experience with initial and updating summary prospectuses (ISPs and USPs) in accordance with SEC Rule 498A
• Conduct ongoing analyses of the annual filing process using continuous improvement techniques and implement internal best practices to improve efficiencies
• Conduct periodic quality audits of fund information contained in prospectuses to ensure adherence to federal SEC regulations
• Capable of delivering a high volume of work within aggressive timelines in a highly regulated environment

Minimum Knowledge & Experience:

• Basic knowledge of federal securities law with a focus on the group deferred variable annuity line of business
• Working knowledge of SEC rule 498A including ISPs and USPs.

About the Job:

Job Summary:

This is an in-house counsel role with the Legal Department’s Dispute Resolution Services – Corporate Litigation group, which principally manages class litigation and complex litigation challenging the company’s policies, practices and procedures. Shutterfly seeks to hire a Corporate Paralegal to support the legal department. This is a full-time position. In this role you will work closely with the Associate General Counsel (Corporate) and other department attorneys, as well as cross-departmentally with business development, finance, accounting and human resources, on a wide variety of corporate matters including corporate governance, securities filings, subsidiary management, M&A, financing transactions and stock administration.

What You’ll Do Here:

• Assist with securities filings, including but not limited to, private-company Annual Reports, Quarterly Reports, Current Reports and related D&O and Disclosure Committee questionnaires.
• Assistance with corporate governance function including maintaining minute books and records with respect to the Board, committees, all subsidiaries, parents and affiliates and provide legal entity organization charts and periodic reports to parties, as required.
• Preparation, filing and/or maintenance of certificates of incorporation/registration, annual reports, powers of attorney, reinstatements, withdrawals, trade name registrations, and corporate and banking resolutions
• Provide corporate secretarial and governance support for matters related to bank account authorizations, intercompany idends, capital contributions, capital reductions, subsidiary reorganizations, guarantees, financing transactions, real estate transactions, intercompany transactions, promissory notes, and intercompany loans
• Support of mergers & acquisitions transactions including preparation for closing and collection and organization of due diligence materials
• Provide KYC information and documents (formation documents, incumbency certificates, etc.) in connection with opening and maintenance of bank accounts and all other treasury related transactions
• Manage relationships with corporate registered agent and various external counsel globally, liaising with them as necessary for apostille and legalization process of foreign documents
• Perform administrative duties such as distributing documents for signature via Docusign, and review of invoices submitted for annual registration of subsidiaries
• Review capitalization table on a quarterly basis
• Ability to project manage complex transactions and corporate projects, including the management of checklists and proactively and independently driving items to closure
• Contribution to other department projects as needed, including without limitation real estate, commercial agreements, etc.

The Skills You’ll Bring:

• Minimum 5 years paralegal experience in a law firm or in-house legal department, with a preference to in-house experience
• Bachelor’s degree, paralegal certification
• Strong skills with Excel, Word, and Outlook are key
• Excellent verbal, written and presentation skills
• Ability to deal effectively with employees and external business contacts while conveying a positive, service-oriented attitude
• Exceptional attention to detail and strong organizational skills

Overview

We are looking for a talented, creative, energetic, tech-savvy, and self-motivated Paralegal with at least 5-8 years of relevant contracts management and compliance experience to join the in-house legal team of a high-growth, e-commerce technology company. This position will work with all levels of the legal department and will work cross-functionally with stakeholders across all company departments. The position is ideal for a paralegal with a strong background in technology, procurement and corporate administration, with well-developed communication, project management, and organizational skills, who enjoys a fast-paced environment and the opportunity to develop new skills.

Responsibilities

With the supervision and direction of the legal team:

• Manage and support work-flow for a wide range of contract documents and related materials, including non-disclosure agreements, procurement agreements, client agreements and renewal forms for the company’s technology offerings, and other documents to meet company objectives.
• Provide contracting support for the in-house procurement team leading certain requests and working with the legal team on certain requests, as assigned.
• Assist in the improvement and management of agreement templates, policies, and processes to address and streamline recurring and anticipated business needs; make recommendations on process improvements; support contracts lifecycle management tool initiatives and updates.
• Manage insurance policy applications, renewals, questionnaires, insurance certificate requests and related process management.
• Manage bankruptcy proofs of claim and other submissions, and provide administrative litigation support for client disputes where needed.
• Support in-house counsel in data security and privacy matters; work cross-functionally with information security team to document and respond to data deletion/production correction requests and manage related processes.
• Manage, prepare and review required notice letters, certifications, information requests, and administrative filings, including maintaining a process for calendaring deadlines for related compliance.
• Act as a liaison between internal and external clients to efficiently drive the contract review and approval process to conclusion, and provide project management support for various ad hoc data collection projects as needed.
• Provide support on transactional business development initiatives.
• Support various projects and other duties as assigned.

Minimum Qualifications

• 5-8 years of relevant experience, ideally with both a law firm and in-house corporate legal team supporting contracts management and corporate administration.
• Excellent verbal, written, analytical and persuasive skills (including with regard to contract negotiation) and the ability to interact effectively and collaboratively with all levels of employees and management.
• Experience with e-commerce and experience working with international sales teams, are a plus.
• Must be resourceful, inquisitive, and driven to learn new skills and gain a deep understanding of the company’s business.
